You verify every count before you bid. Perfect Takeoff is a tool that drafts a takeoff from your drawings. It can miss devices, add devices that should not be there, or apply a code rule that does not fit your job. Every quantity, device location, price and code application must be checked by you before it is used in a bid, quote, submittal or installation.
It is provided as is. We are not liable for a bid you lost, or a job you won at the wrong price, because of a count. Our total liability for anything is capped at what you paid us in the 12 months before the event giving rise to the claim, or $100 if that is more.

01The agreement
These Terms of Service ("Terms") are an agreement between you and Perfect Takeoff ("Perfect Takeoff", "we", "us"). They cover perfecttakeoff.com, the Perfect Takeoff app, and any plan you use, free or paid (together, the "Service").
You accept these Terms when you create an account, start a trial, subscribe, or otherwise use the Service. If you use the Service on behalf of a company, you confirm you have authority to accept these Terms for it, and "you" includes that company. The Service is for business use by people 18 or older; you may not create an account if you are younger. If you do not agree to these Terms, do not use the Service.
Our Privacy page explains how we handle information.
02What the service is
Perfect Takeoff reads PDF plan sets you upload. It uses software, including AI image recognition, to produce computer-assisted draft takeoffs: device counts and locations, marked-up sheets, bills of materials, and draft proposals for estimating and coordination.
It is not any of the following:
- an engineered or stamped fire alarm design;
- a code-compliance review;
- a substitute for a licensed fire-protection engineer or the authority having jurisdiction (AHJ).
Code references in the Service are for coordination only. Prices come from your price sheet, your entries or default values. They are not quotes from any manufacturer or distributor.
We are improving the Service continually. Features may be added, changed or removed.
03You verify every count
Automated takeoffs make mistakes. Drawings vary, scans are imperfect, and code requirements depend on facts the drawings may not show. So, as a condition of using the Service:
- You must independently verify every quantity, device location, device type, circuit, battery, wire, price and code application the Service produces. Do this before you rely on it in a bid, quote, proposal, submittal, permit application, purchase order or installation.
- You are solely responsible for the following: the bids and proposals you send, the prices you quote, the scope you accept, and the work you perform.
- Every design and installation decision remains subject to a licensed fire-protection engineer, the project documents and the AHJ.
We are not liable for the counts the Service produces. Verifying them is your responsibility, so a lost bid, an underpriced or overpriced job, a change order, or rework that follows from a count is not a basis for a claim against us.
04Accounts
Keep your sign-in details secure. You are responsible for activity under your account. Tell us promptly at hello@perfecttakeoff.com if you think someone else has used it. Give us accurate account and billing information. Each account is for one person unless your plan says otherwise.
05Plans, billing & cancellation
- Plans and prices. Each plan's price and takeoff allowance are shown at sign-up or checkout. Takeoff allowances are monthly and reset on the same day each month as your subscription started, including on annual plans. Re-running the same plan set within 24 hours of its takeoff does not use another one, for up to 5 re-runs. Unused takeoffs do not carry over.
- Billing. Paid plans are billed in advance, monthly or annually. Checkout and payment are handled by Stripe, through Link, which acts as the seller of record for the payment, and your card statement will read LINK.COM* PERFECT TAKE. By subscribing, you authorize recurring charges to your payment method until you cancel.
- Automatic renewal. A paid plan is a continuing subscription. It renews automatically at the end of each billing period, every month or, on annual billing, every year, and your payment method is charged the plan’s price for the next period until you cancel. The price and billing period are shown beside the Subscribe button and again on the checkout page before you pay, and you agree to these automatic-renewal terms when you subscribe. After you subscribe, you receive an email confirming the plan, its price and billing period, that it renews automatically, and how to cancel. For annual plans, we email you a reminder before the renewal date. It arrives 15 to 45 days before each renewal and gives the renewal date, the price and how to cancel.
- Cancellation. You can cancel at any time, online, without calling or writing to us: in the app, open Manage billing and choose to cancel your plan. You can also cancel by emailing hello@perfecttakeoff.com. Cancellation takes effect at the end of the current billing period; you keep access until then and are not charged again.
- Refunds. Fees already paid are non-refundable, including for partial periods and unused takeoffs, except as stated in §13 or where the law requires otherwise.
- Price changes. We may change prices for future billing periods. We will email you at least 7 days before a new price applies to your subscription, and you can cancel before it does. A founding rate we have promised for the life of your subscription is not changed while that subscription stays active.
- Taxes. Sales tax, where it applies, is calculated and shown at checkout.
- Free trials and promotions. These are offered at our discretion, and may be changed or ended.
06Your drawings & data
You keep ownership of the plan sets, projects, prices and other material you upload or create ("Your Content"). You give us a limited license to host, copy, process and display Your Content. That license is only for providing the Service to you and for the purposes described on our Privacy page. Processing includes sending plan images to our AI and cloud-hosting providers.
You confirm that you have the right to upload and use the drawings you give the Service. That means as the plan holder, bidder or contractor on the project, or with permission. You also confirm that using them does not break a confidentiality obligation, a security requirement, or anyone's rights. Do not upload drawings that you are not permitted to share with a third-party software service. Classified, controlled or restricted drawings are examples.
Copyright complaints (DMCA). We respond to notices of claimed copyright infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512. Our designated agent is: Copyright Agent, Perfect Takeoff, 1804 Garnet Ave Unit 286, San Diego, CA 92109 · hello@perfecttakeoff.com. A notice must include all of the following:
- your physical or electronic signature;
- identification of the copyrighted work you say is infringed;
- identification of the material you say infringes it, and where it appears on the Service (for a shared proposal, its link);
- your name, address, telephone number and email address;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law;
- a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act for the owner.
When we receive a valid notice, we remove or disable access to the material and tell the user who posted it.
Counter-notice. If your material was removed and you believe that was a mistake, send our agent a counter-notice with: your physical or electronic signature; identification of the material and where it appeared before it was removed; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; your name, address and telephone number; and a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any judicial district in which Perfect Takeoff may be found) and will accept service of process from the person who sent the notice. We may restore the material 10 to 14 business days after we receive a valid counter-notice, unless the person who sent the notice tells us they have filed a court action.
Repeat infringers. We end, in appropriate circumstances, the accounts of users who repeatedly infringe.
Keep your own copies of your drawings and work. We take reasonable care of stored data, but storage can fail, and the Service is not a backup.
07Share links & teams
If you create a share link for a proposal, anyone who has the link can view that proposal until it expires, at most a year after you make it, or you stop it, which you can do at any time. You are responsible for who you send it to.
If you join a team, the team's manager can read your projects in the Service, but cannot change them. You can leave a team at any time.
08Acceptable use
Do not do any of the following:
- break the law or anyone's rights with the Service;
- upload malicious code;
- try to get around account limits, metering or security;
- access another user's data;
- overload, scrape or resell the Service;
- reverse-engineer it, except where the law allows that;
- use it to build a competing product;
- use share links to host content unrelated to your proposals.
We may suspend accounts that do.
09Our software
The Service is owned by Perfect Takeoff and protected by law. That includes its software, design, rule sets and branding. While your account is in good standing, we grant you a limited, non-exclusive, non-transferable right to use the Service for your own business under these Terms.
The outputs the Service produces for you are yours to use in your business. These are the marked-up sheets, bills of materials, proposals and exports.
If you send us feedback or suggestions, we may use them without any obligation to you.
10Provided as is
The Service is provided "as is" and "as available." To the fullest extent the law allows, Perfect Takeoff disclaims all warranties, express or implied. These include warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant any of the following:
- that any count, location, price, calculation or code application is accurate, complete or compliant;
- that the Service will be uninterrupted, timely or error-free;
- that stored data will not be lost.
Some places do not allow certain warranty exclusions. Where that applies, those exclusions apply only as far as the law allows.
11Limit of liability
To the fullest extent the law allows:
- No indirect losses. Perfect Takeoff will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages. That includes losses described as any of the following:
- lost bids, lost contracts or lost profits;
- an underpriced or overpriced job;
- change orders, rework or delay;
- lost data;
- damage to reputation.
- Cap. Perfect Takeoff's total liability for all claims relating to the Service or these Terms is limited to the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or US $100.
These limits are a fundamental part of the bargain. The price of the Service reflects them. They apply even if a limited remedy fails of its essential purpose. They do not limit liability that cannot be limited by law.
12Your responsibility for your bids
You will defend, indemnify and hold harmless Perfect Takeoff from third-party claims, losses and costs (including reasonable legal fees) that arise from any of the following:
- your bids, proposals, submittals and installations;
- Your Content, including drawings you did not have the right to upload;
- your use of share links;
- your breach of these Terms.
13Ending the agreement
You can stop using the Service and cancel at any time (see §05). We may suspend or end your access if you breach these Terms, if we are required to by law, or if we discontinue the Service. If we discontinue a paid Service for reasons other than your breach, we will refund any prepaid fees for the unused period.
After your account ends, we may delete Your Content. Export anything you need first.
Sections 03, 06, 09, 10, 11, 12, 14 and 15 continue to apply after the agreement ends, as does any fee already owed.
14Disputes & governing law
Before filing a claim, please email us at hello@perfecttakeoff.com and give us 30 days to try to resolve it.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be brought only in the state or federal courts located in San Diego County, California, and both parties consent to those courts. Either party may bring a qualifying claim in small claims court.
Any claim relating to the Service must be brought within one year after it arose, to the extent the law allows such a limit.
15General
These Terms are the entire agreement between you and Perfect Takeoff about the Service. They replace any earlier early-access terms, including those formerly on the Privacy page. If a provision is found unenforceable, it will be enforced to the maximum extent allowed, and the rest of these Terms remain in effect. Our not enforcing a provision is not a waiver of it.
You may not transfer these Terms without our consent. We may transfer them as part of a reorganization or a sale of the business.
Neither party is liable for delays caused by events beyond its reasonable control.
Notices. We send notices to the email address on your account. You send notices to hello@perfecttakeoff.com.
16Changes & contact
We may update these Terms. When we make a material change, we will update the effective date at the top of this page. Where practical, we will also tell account holders by email or in the app before the change takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
